Bharat Forge Completes Merger of Two German Subsidiaries

Bharat Forge Holding GmbH has been merged into Bharat Forge Global Holding GmbH.

Shares of Bharat Forge Ltd were trading in the red and 1% lower on 11 September after the company announced that it has completed the merger of two of its German subsidiaries as part of efforts to simplify its overseas corporate structure and streamline operations. 

Bharat Forge Holding GmbH has been merged into Bharat Forge Global Holding GmbH, with the transaction taking effect on August 25, 2026, after its registration in Germany’s commercial register.

The restructuring brings the two entities under a single holding structure and is expected to reduce administrative complexity within the company’s German operations. Bharat Forge said the merger is an internal restructuring and does not involve any change in the ultimate ownership of the businesses.

The company has built a significant manufacturing presence in Europe, particularly in Germany and Sweden. Its German operations include Bharat Forge Aluminiumtechnik, Bharat Forge Daun and Bharat Forge CDP, while Bharat Forge Kilsta operates in Sweden. These facilities support the company’s global customers across automotive and industrial applications.

The latest restructuring comes as Bharat Forge continues to review its international operations and improve the efficiency of its global business. Earlier this year, the company had also announced plans to restructure its German steel business, reflecting the challenges faced by some of its European operations and the need to improve cost competitiveness.

At the same time, Bharat Forge continues to strengthen its higher-growth businesses in India. Its defence operations have emerged as an important growth driver, with the company’s defence order book reaching Rs 11,196 crore in the June 2026 quarter. The company is also expanding its presence across aerospace, railways, marine and other industrial segments.

The German merger is therefore part of a broader effort to make the group’s international structure more efficient while Bharat Forge focuses resources on businesses with stronger long-term growth potential. The company continues to maintain a wide global footprint, with operations spanning India, Germany, Sweden, the US and other markets.

At 12:20 pm, the shares of Bharat Forge were trading 1.65% lower at Rs 1,922.50 on NSE.
