Adani Enterprises’ JV AdaniConneX will buy 100% of Vizag Mega Data Center Park for ₹1,085.51 cr in cash, per exchange filings.

The deal papers were signed on 5 November, and Adani Enterprises Limited informed the exchanges the next day.

The seller is Adani Infra (India) Limited, which is also AdaniConneX’s partner in the venture. The target is a very young company.

Vizag Mega Data Center Park Limited was set up on 3 February 2026 and is registered in Ahmedabad.

It has not started business, so its sales are nil, and its share capital is just Rs 1 lakh.

So what is the Rs 1,085.51 crore paying for? The company says the firm owns a large plot of land and holds key licences needed to begin building infrastructure.

Adani Enterprises said these give AdaniConneX a head start. The filing does not explain how the price was worked out, how big the land is or where exactly it sits.

Payment will be in cash. No government approval is needed. The company expects to finish the purchase by 10 November, just five days after signing.

Once it closes, AdaniConneX will own the firm outright. The target is controlled directly or indirectly by Adani Enterprises’ promoter group.

Even so, the company said the deal is not a related-party transaction for the listed company under SEBI rules, and that it was struck on an arm’s-length basis, meaning on terms that two unconnected parties would agree.

It follows another recent move in the same space.

On 13 October, Adani Enterprises and US firm Jabil Inc. signed a non-binding agreement for a proposed 50:50 joint venture to make AI and data centre equipment in India.

That plan still needs final agreements and approvals.
