Shares of Eris Lifesciences Ltd were trading 3% lower on 25 November despite the company announcing the acquisition of the remaining 30% ownership in its injectable manufacturing business, Swiss Parenterals, for Rs 423.3 crore.

According to the filing, Eris intends to issue 23,06,372 equity shares on a preferential basis to Naishadh Shah, a director at Swiss Parenterals and the interest seller, in order to fully discharge the consideration. An independent valuation led to the issue price of Rs 1,835.35 per share.

Following the acquisition, Swiss Parenterals will be a completely owned subsidiary. Eris stated that the buyout is intended to tighten operational management, increase cost savings, and enable full financial consolidation. The deal is scheduled to close before 31 March 2026, subject to normal approvals.

Swiss Parenterals, founded in 1997, manufactures and delivers parenteral products to more than 80 countries. The firm had a turnover of Rs 351 crore in FY25, up from Rs 283 crore in FY24 and Rs 221 crore in FY23.

Separately, Eris will seek shareholder approval via postal ballot for the preferential allotment and the related-party transaction, considering Shah’s employment at the subsidiary. The deadline for voting has been set to 21 November 2025.
