As Flipkart accelerates its IPO preparations, the Walmart-owned e-commerce major has appointed Jane Duke as its Chief Ethics & Compliance Officer. This will further strengthen governance and oversight.
In her new role, Duke will report to Chris Cyrenne, Chief Ethics & Compliance Officer at Walmart International. She will also work closely with Flipkart Group CEO Kalyan Krishnamurthy. Duke brings nearly three decades of experience across public-sector enforcement and corporate compliance. Most recently, she served at Tyson Foods as Vice President and Associate General Counsel. This followed a stint as Chief Compliance Officer. Earlier, she spent over 10 years at the US Attorneyβs Office for the Eastern District of Arkansas. Notably, her tenure there included four years as US Attorney from 2007.
Krishnamurthy said Dukeβs extensive experience in ethics, compliance and governance will reinforce Flipkartβs focus on transparency, integrity and long-term value creation. This comes as the company continues to scale.
The appointment comes alongside Flipkartβs ongoing structural overhaul ahead of its India IPO. In December 2025, the National Company Law Tribunal approved the merger of eight Singapore-incorporated Flipkart entities into Flipkart Internet Private Limited. The latter is the Bengaluru-based operating arm. The process now awaits approval from a Singapore court. Afterwards, it needs clearance from the Registrar of Companies. In addition, sources note that Press Note 3 approvals will also be required. Legal experts have described the move as a βreverse flipβ aimed at aligning Flipkartβs legal domicile with its operational base ahead of listing.
