The government eased FDI rules to allow e-commerce inventory strictly for exports, while domestic sales remain restricted.
The Department of Economic Affairs, which sits under the finance ministry, notified this change on 2 September. It adds a fresh provision to the Foreign Exchange Management Non-debt Instruments Rules, 2019.
In simple terms, e-commerce companies with foreign investment can now stock and sell their own inventory, but only if that inventory is made up of goods manufactured in India and meant strictly for export.
This is essentially the government formally putting into effect a decision it had first announced back in July. To understand why this matters, it helps to know how things worked before.
India has long restricted FDI backed e-commerce platforms from holding and directly selling inventory to domestic customers, largely to protect small retailers and kirana stores from being undercut.
That restriction still applies fully when it comes to selling within India. What has changed is that the same restriction no longer applies if the goods are being exported out of the country.
Amit Agarwal, Senior Partner at Nangia and Co LLP, explained that this move serves two purposes at once.
It gives Indian manufacturers a genuine opportunity to scale up globally using FDI backed platforms, while keeping the domestic retail space protected exactly as before. There’s a compliance angle here too.
Companies that want to use this exemption will need to prove, transaction by transaction, that the goods being sold are of Indian origin, that they are being exported under the Foreign Trade Policy, and that the export proceeds are properly received and reported under FEMA’s export regulations.
Agarwal also pointed out that any gaps or non compliance here could invite the same regulatory consequences that currently apply to inventory based e-commerce models operating outside these rules.
