Texmaco Brings In Rs 200 Crore Investor For Defence Arm

Texmaco Rail & Engineering Ltd
Texmaco Rail climbs as the firm became lowest bidder for a Rs 26.6 crore Vasai job.

Texmaco Rail told exchanges on August 14 it will bring in an outside investor, cutting its defence unit stake to 70%.

The Kolkata based company signed a Share Subscription and Shareholders Agreement that same day with its subsidiary Texmaco Defence Technologies and an investor named Vagus Def Tech & Aerospace Fund-1, called Calculus in the filing.

Calculus is putting in up to Rs 200 crore. That money arrives in two chunks. Rs 100 crore goes first, used to buy fresh equity shares in the defence unit.

The remaining Rs 100 crore comes later, and the two sides still have to work out whether it takes the shape of equity, debt, or something else entirely.

Once the first tranche closes, Calculus ends up owning 30% of Texmaco Defence Technologies.

Texmaco’s own stake falls to 70%, and the unit is no longer wholly owned by its parent. Texmaco isn’t pocketing any cash from this transaction either.

New shares are being issued, not existing ones sold, so nothing flows back to the parent company.

The deal also doesn’t count as a related party transaction since Texmaco’s promoters hold no stake in Calculus.

The whole thing is expected to close within 90 days. The defence subsidiary is barely off the ground financially.

For the year ended March 31, 2026, it posted a net worth of Rs 0.01 crore and hadn’t booked any revenue.

This funding round is essentially seed capital for a business still finding its feet. The parent company has a longer history to lean on.

Texmaco Rail has spent close to eight decades building wagons, coaches, EMUs and loco shells, alongside steel structures and hydro-mechanical equipment for clients in cement, steel, fertiliser and power.

It also has a wagon leasing arrangement with France’s Touax Rail and works alongside US based Wabtec Corporation.
