Torrent Pharma to Acquire Curatio Health for Rs 2,000 Crore

The consideration includes Rs 115 crore of cash and cash equivalents in the acquired business, indicating an enterprise value of Rs 1,885 crore.

On Tuesday, Torrent Pharmaceuticals said it would acquire Curatio Healthcare for Rs 2,000 crore to strengthen its presence in the dermatology segment.
Torrent Pharmaceuticals has entered into definitive agreements to acquire 100 per cent of Curatio Healthcare for Rs 2,000 crore. Chennai-based Curatio has a portfolio of over 50 brands that are marketed in India.

The consideration includes Rs 115 crore of cash and cash equivalents in the acquired business, indicating an enterprise value of Rs 1,885 crore. The said acquisition offers Torrent Pharmaceuticals the opportunity to increase its presence in dermatology with a differentiated portfolio and is a strong strategic fit.


Torrent Pharmaceuticals Director Aman Mehta said that Curatio had built a commendable set of high market share brands in cosmetic and pediatric dermatology that the former look forward to adding to its product offerings.
Sequoia-backed Curatio has a portfolio of over 50 brands, including Atogla, Spoo, Tedibar, B4 Nappi, and Permite. The company’s top ten brands account for around 75 per cent of total revenue. Reportedly, it registered a revenue of Rs 224 crore in FY22 and dermatology accounts for 82 per cent of Curatio’s revenue.


With this acquisition, Torrent Pharma would add a field force of 600 medical representatives and a distribution network of 900 stockists. Besides the promoters of Curatio, Sequoia and ChrysCapital would be exiting from the company through the transaction. The transaction is subject to conditions precedent and is expected to close within one month, Torrent Pharma said.
