Shares of Lupin Ltd are trading flat after touching a day’s high of Rs 1,958 on 29th September, even as the company announced that its wholly owned subsidiary, Nanomi BV, has signed a definitive agreement to acquire VISUfarma BV—a European speciality pharmaceutical firm backed by GHO Capital Partners—for an enterprise value of 190 million euros, or roughly Rs 1,970 crore.

The deal will be funded from the company’s existing cash reserves. It is expected to close by the end of 2025, subject to approval.

VISUfarma is estimated to generate 54 million euros in revenue in 2025. It has a portfolio of over 60 branded ophthalmology products. It operates across Italy, the UK, Spain, Germany, and France. This gives Lupin direct access to major European markets and strengthens its speciality eye-care business.

The acquisition supports Lupin’s strategy to expand in Europe and diversify into speciality therapies. VISUfarma’s products target conditions such as dry eye, glaucoma, eyelid hygiene, blepharitis, retinal health and nutraceuticals prescribed by eye specialists.

Lupin said the transaction will boost its growth and margins. It will help tap into the growing global ophthalmology market. This is driven by ageing populations, rising diabetes-related eye issues, and increased focus on preventive care.

Lupin CEO Vinita Gupta stated that the acquisition enhances the company’s European presence and speciality portfolio. GHO Capital, VISUfarma’s current owner, and VISUfarma’s leadership expressed confidence. They believe Lupin will help scale the business into a global ophthalmology brand.
